
Chellarams Plc has announced that its 76th Annual General Meeting (AGM) will be held virtually on Thursday, November 6, 2025, at 1:00 p.m., in compliance with the Companies and Allied Matters Act (CAMA 2020), which allows public companies to hold electronic meetings.
Agenda Overview
At the meeting, shareholders will:
Receive and consider the Audited Financial Statements for the year ended March 31, 2025, along with the reports of the Directors, Auditors, and Audit Committee.
Re-elect retiring Directors, including Chief Suresh Murli Chellaram and Alhaji Adamu Ahmed Abdulkadir, who have offered themselves for re-election. (A special notice has been issued for Alhaji Abdulkadir, who is over 70 years old but remains eligible under Section 282 of CAMA 2020.)
Authorize the Board to fix the remuneration of the External Auditors.
Disclose the remuneration of company managers.
Elect shareholder representatives to the Statutory Audit Committee.
Approve Directors’ fees for the 2024/2025 financial year as stated in the company’s Annual Report.
Participation and Proxy Arrangements
Since the meeting will be held online, shareholders who wish to participate will receive the virtual meeting link via email and can also access it on the company’s website: www.chellaramsplc.com

Shareholders unable to attend may appoint proxies to represent them. Proxy forms are available on the company’s website and must be submitted to the Registrar, Greenwich Registrars & Data Solutions Limited, no later than 48 hours before the meeting.
Chellarams has also arranged for free stamping of proxy forms submitted within the stipulated time.
Key Administrative Notes
The Register of Members and Transfer Books will be closed from October 22 to October 29, 2025 (both dates inclusive).
Nominations for the Audit Committee must reach the Company Secretary at least 21 days before the AGM, and nominees must be financially literate, with at least one being a member of a recognized accounting body.
Shareholders with unclaimed dividends or share certificates are encouraged to contact the Registrar for resolution.
The company also urges shareholders to complete their e-dividend registration to receive payments directly into their bank accounts.
The AGM will be livestreamed on Chellarams’ website for broader shareholder participation.
